This is a reference translation. The Japanese text above is the authoritative version.

Article 1 (Scope)

  1. These Terms of Use (the "Terms") set out the conditions for using the piano practice app "OtoIroha" (音いろは; the "Service") provided by VirtualCross ("we" or "us").
  2. Users use the Service after agreeing to these Terms, and are deemed to have agreed to them on using the Service.
  3. Price lists, help pages and other individual rules that we post on the Service ("Individual Rules") form part of these Terms. If these Terms and the Individual Rules conflict, the Individual Rules prevail.
  4. For users who obtain the Service from the App Store, Apple Inc.'s standard Licensed Application End User License Agreement also applies in addition to these Terms. If these Terms and that agreement differ, these Terms prevail as between us and the user.

Article 2 (What the Service Does)

  1. The Service is a practice app for people learning the piano for the first time. It offers reading music, lessons by chapter, practising well-known pieces, recitals, free play and other features. Some features are available only to users of the Paid Plan under Article 6 (Paid Plan).
  2. The Service has no user accounts. Records such as your learning progress are stored only on your device and are not sent to our servers. They therefore do not carry over between devices, and we cannot restore records lost because the app was deleted or a device failed or was lost.

Article 3 (Use by Minors)

  1. Minors must obtain the consent of a parent or other legal representative before using the Service. Minors must always obtain that consent before buying the Paid Plan.
  2. If a minor uses deception to make us believe they have legal capacity, such as by falsely claiming a legal representative's consent or lying about their age, they may not rescind contracts relating to the Service.

Article 4 (Intellectual Property)

  1. Copyright and other intellectual property rights in the lessons, scores, arrangements, text, images, audio, software and other content of the Service belong to us or to their rightful holders.
  2. We grant users a non-exclusive, non-transferable, non-sublicensable right to use the Service personally in accordance with these Terms.

Article 5 (Prohibited Conduct)

When using the Service, users must not:

  1. act in breach of laws or public order and morals;
  2. infringe the copyright or other rights or interests of us or of third parties;
  3. copy, distribute, transmit to the public or sell the content of the Service beyond the scope of private use;
  4. sell, rent out or otherwise use the Service or its content for commercial purposes without our permission (using the Service together with pupils at a piano school or similar does not count as such use);
  5. deliberately exploit faults in the Service, or analyse or modify the Service by reverse engineering or similar means;
  6. improperly circumvent the Paid Plan;
  7. provide benefits to organised crime groups or other antisocial forces;
  8. engage in any other conduct that we reasonably judge to be equivalent to the above.

Article 6 (Paid Plan)

  1. Users may buy "OtoIroha Premium" (音いろは プレミアム; a monthly auto-renewing subscription, the "Paid Plan") in the Service.
  2. The content of the Paid Plan is as shown in the Individual Rules (the purchase screen in the app). As of the date these Terms were established, "Basics of reading music" (楽譜のきほん), Chapter 1 and "Free play" (じゆうに弾く) are free, and the Paid Plan adds the lessons from Chapter 2 onwards, the well-known piece challenges and recital pieces, and connecting a MIDI keyboard (USB or Bluetooth).
  3. The price is JPY 480 per month (tax included), as shown on the purchase screen and on the App Store. The price shown is the amount you pay. There is no free trial.
  4. Payment is made through the payment methods of the App Store provided by Apple Inc. on iOS, or of Google Play provided by Google LLC on Android, and payment, cancellation and refund procedures follow each company's rules. We do not receive payment details such as card numbers.
  5. The Paid Plan renews automatically for the same period and price unless cancelled at least 24 hours before the end of the current period on the App Store, or before the next renewal date on Google Play. The renewal fee is charged within the 24 hours before the current period ends on the App Store, or on the renewal date on Google Play. To cancel, on iOS open the Settings app and go to your name > Subscriptions; on Android open the Google Play Store and go to Payments & subscriptions > Subscriptions (you can also open it from 「変更・解約」 on the app's My page). Deleting the app does not cancel the subscription. After cancelling you can keep using the Paid Plan until the end of the current period. If you cancel partway through a period, we do not give pro-rated refunds.
  6. The Paid Plan is tied to the Apple Account or Google Account used to buy it. To use it on another device that uses the same account, or after reinstalling the app, use "Restore purchases" (購入を復元) in the Service. It does not carry over between iOS and Android. Family Sharing is not supported.

Article 7 (Refunds)

  1. Except as provided by law or elsewhere in these Terms, we do not refund fees we have received.
  2. If a fault in the Service prevents you from using the features of the Paid Plan, please contact us through the contact point in Article 15 (Notices and Contact).
  3. Refunds of in-app purchases follow Apple's or Google's procedures, as set out in Article 6 (Paid Plan).

Article 8 (Changes to, Suspension and End of the Service)

  1. We may change the content of the Service. We will announce in advance on the Service any change that significantly affects users, such as a change that reduces the content of the Paid Plan.
  2. We may temporarily suspend all or part of the Service without prior notice in any of the following cases:
    1. to carry out maintenance, inspection or updates;
    2. where provision is difficult due to natural disaster, power failure, communications failure, system failure or other force majeure;
    3. where an external service the Service relies on (such as the App Store or Google Play) stops or changes its specifications;
    4. where we reasonably judge, for reasons equivalent to the above, that a suspension is necessary.
  3. We may end all or part of the Service by announcing it on the Service at least 30 days in advance. In that case, if fees have been paid for any period after the end date, we will refund that portion (for in-app purchases, through the procedure in Article 6 (Paid Plan)).

Article 9 (Disclaimer of Warranties)

  1. We do not warrant that the Service will suit any particular purpose of a user, that it will have the functionality, accuracy or usefulness the user expects, or that it will be provided without interruption.
  2. We do not warrant that using the Service will improve your playing or produce any other particular learning outcome.
  3. We do not warrant that the Service will connect to or work with every MIDI keyboard (digital piano or similar).
  4. The Service relies on services provided by other companies (Apple and Google), and changes to or the discontinuation of those services may make all or part of the Service unavailable.

Article 10 (Limitation of Liability)

  1. We will compensate users for damage caused by reasons attributable to us, in accordance with this Article.
  2. Our liability for damages arising from our negligence (excluding gross negligence), whether in contract or in tort, is limited to ordinary and direct damages actually incurred by the user and does not include lost profits or other damages arising from special circumstances.
  3. For users of the Paid Plan, the damages under the preceding paragraph are capped at one month's fee for the Paid Plan as it stood when the cause of the damage arose.
  4. The preceding two paragraphs do not apply in cases of our wilful misconduct or gross negligence.
  5. The preceding paragraphs do not apply to the extent that the Consumer Contract Act or other laws do not allow our liability to be wholly or partly excluded.

Article 11 (Users' Liability)

If a user causes us damage by breaching these Terms or misusing the Service, the user will compensate us for that damage.

Article 12 (Assignment)

  1. Users may not assign, or provide as security, their position under these Terms or any rights or obligations under them to a third party without our prior consent.
  2. If we transfer the business relating to the Service to a third party (including by business transfer, company split, incorporation or any other form of transfer), we may transfer our position under these Terms and our rights and obligations under them to the successor, and users consent to this in advance.

Article 13 (Severability)

Even if any provision of these Terms, or part of one, is held invalid or unenforceable under the Consumer Contract Act or other laws, the remaining provisions, and the remainder of any provision held partly invalid or unenforceable, remain in full effect.

Article 14 (Changes to These Terms)

  1. We may change these Terms without obtaining individual users' consent, under Article 548-4 of the Civil Code, where:
    1. the change is in the general interest of users; or
    2. the change does not conflict with the purpose of these Terms and is reasonable in light of the need for the change, the appropriateness of the changed content and other circumstances relating to the change.
  2. Before a change takes effect, we will post on the Service, or notify users of, the fact of the change, the amended Terms and the effective date at least 14 days in advance. A change that is in the general interest of users may take effect when posted.
  3. If a user uses the Service on or after the effective date, the user is deemed to have agreed to the amended Terms.

Article 15 (Notices and Contact)

  1. We give notices to users by posting them on the Service (including in the app and on our website) or by any other method we consider appropriate.
  2. Users contact us by email at the following contact point.
    VirtualCross info@virtual-cross.com https://virtual-cross.com
    Operator details (address, phone): https://virtual-cross.com/otoiroha/tokushoho

Article 16 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute relating to the Service. However, where the user is a consumer, this Article does not prevent the user from bringing an action in a court competent under the law.

Article 17 (Language)

The Japanese version of these Terms is authoritative. The English version is a reference translation; if the two differ, the Japanese version prevails.
